These Terms of Service (“Terms”) govern access to and use of VIDO Food websites, apps, dashboards, online ordering pages, and related services provided by VIDO LLC (“VIDO,” “we,” “us,” or “our”).
By accessing or using VIDO Food, you agree to these Terms.
1. Services
VIDO Food provides restaurant technology tools, which may include:
– Point-of-sale tools
– Online ordering
– Order manager apps
– Kiosk ordering
– Gift card tools
– Menu management
– Customer notifications
– Reporting
– Payment-related integrations
– Store dashboard tools
– Related support and software services
Available features may depend on the selected plan, merchant setup, device, payment provider, hardware, and service configuration.
2. Account Responsibility
Users are responsible for maintaining the confidentiality of login credentials and for all activity under their accounts. You must notify us immediately if you believe your account has been accessed without authorization.
3. Merchant and Restaurant Users
Restaurants and merchants using VIDO Food may be required to agree to a separate Merchant Agreement, subscription order, or service agreement. If there is a conflict between these Terms and a signed Merchant Agreement, the Merchant Agreement will control for merchant-related services.
4. Customer Orders
VIDO Food may allow customers to place orders with restaurants. The restaurant is responsible for preparing orders, accepting or rejecting orders, handling food quality, pickup, delivery, refunds, cancellations, and customer service related to the food or services sold.
VIDO is a technology provider and is not the restaurant, food seller, food preparation provider, delivery provider, or merchant of record unless specifically stated in a separate written agreement.
5. Payments
Payments may be processed by third-party payment processors or gateways. Payment availability may depend on merchant setup, processor approval, gateway availability, network availability, and compliance requirements.
VIDO does not guarantee that every payment attempt will be approved. VIDO is not responsible for bank declines, processor outages, settlement delays, chargebacks, or third-party payment fees.
6. Gift Cards
If gift card tools are available, restaurants are responsible for honoring valid gift card balances, managing customer disputes, and complying with applicable gift card laws. VIDO provides software tools but does not assume the restaurant’s gift card obligations unless separately agreed in writing.
7. Customer Notifications
VIDO Food may provide transactional email or SMS notifications. Marketing messages are subject to consent and compliance requirements. Users and merchants may not use VIDO Food notification tools for spam, unlawful marketing, misleading promotions, or messages without proper consent.
8. Prohibited Use
Users may not:
– Use the services for illegal activity
– Attempt unauthorized access
– Interfere with system security
– Upload harmful code
– Misrepresent identity or business information
– Abuse SMS, email, gift card, payment, or notification tools
– Violate payment, privacy, consumer protection, tax, or food service laws
– Copy, resell, reverse engineer, or misuse VIDO software or designs
– Use VIDO Food to sell prohibited, unsafe, fraudulent, or illegal products or services
9. Service Availability
We work to keep VIDO Food reliable, but we do not guarantee uninterrupted service. Service may be affected by internet outages, third-party providers, payment processor issues, hardware failure, device issues, maintenance, or events outside our control.
10. Changes to Services
VIDO may modify, improve, suspend, or discontinue features at any time. We may also update pricing, plans, or service availability with notice where required or commercially reasonable.
11. Intellectual Property
VIDO Food, VIDO logos, software, website content, designs, workflows, and related materials are owned by VIDO LLC or its licensors. Users may not copy, reverse engineer, resell, or misuse VIDO intellectual property without written permission.
12. Third-Party Services
VIDO Food may integrate with third-party services, including payment processors, email providers, SMS providers, hosting providers, hardware providers, app stores, and analytics tools. Third-party services are governed by their own terms and policies. VIDO is not responsible for third-party service outages, errors, or policy changes.
13. Disclaimer
VIDO Food is provided on an “as is” and “as available” basis to the extent permitted by law. We do not promise that services will be error-free, uninterrupted, or suitable for every business need.
14. Limitation of Liability
To the fullest extent permitted by law, VIDO LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, lost orders, lost data, payment processing issues, chargebacks, hardware failures, printer issues, or service interruptions.
15. Suspension and Termination
We may suspend or terminate access if a user violates these Terms, fails to pay required fees, creates security risk, misuses the services, violates applicable law, or harms VIDO, merchants, customers, or third-party providers.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
